The business laws and other constitutional laws which we have to follow that have been arrived from British period. In India, all companies have to be registered under the New Companies Act 2013.

To register a software company, the first step is to get the name of your company approved with consent from ROC (Registrar Of Companies). Once you get the name approved then you have to get CIN (Company Identification Number). After getting CIN, you have to submit all your verified documents and other legal forms as well. Throughout this process, you have to mention all the compulsory information about the company.

Furthermore, mention the share capital, shareholders, funds and all the relative information which you require to fill in the legal form. Once it gets approved, you can apply for the certificate of registration.

Legal Process to Start Software Company Registration

The company should go through pre-registration processes which are as follows:

  • Direct Identification Numbers (DIN)
  • Reservation of Company Name
  • Electronic Signatures

While incorporating a software company, it has to classify its directors first. The number of directors must be between 2 and 8 inclusive, but it should not to be lesser or greater than that. Directors should have Director Identification Numbers. In case they do not have DIN, they must apply for that. They have to submit their ID proof and residence proof to apply for this. The identity proof can be Passport, PAN card, DL or Voter ‘s ID and the address proof can be Driving License, Electricity Bill, Ration Card, Passport or Telephone bill.

Once the DIN is obtained, the company has to apply for a name. There are around 1-2 names from which the company can choose one. If the name is not available, then the company can choose a name by its own and has to apply for incorporation. At this process, the company has to come up with a Memorandum of Association (MOA) which includes company’s first director and its operations.

This procedure has to be done online. While applying, individual has to submit this application along with the form 1A at the official website of the concerned department. The registration can be done with the help of chartered accountants. After the company has been integrated officially, the owner should open a current account in a well-known bank. To open a current account the owners have to provide copies of Certificate of Incorporation and MOA.

Get Digital Signature Certificate (DSC)

To make sure the authenticity of documents filed electronically, the information act 2000 demands a legal digital signature on the essential documents submitted electronically. This is the only secure method through which one can submit their necessary documents electronically. The digital signature certificate must be obtained only through agencies which are selected by CCA (Controller of Certification Agencies). One must not employ DSC provided by any other agency that is not approved and it is illegal to use others DSC as yours or the fake one.

If you have a digital signature then you can use the same, no need to apply for another. But do not forget to ensure the validity of the digital signature, agencies provide DSC’s with 1 or 2-year validity after expiry you must renew it.

DOCUMENTS REQUIRED FOR PRIVATE LIMITED COMPANY REGISTRATION IN BENGALURU

PAN CARD (compulsory)

Your PAN Card is compulsory for becoming a Director in a private limited company. If you don’t have one, then apply before starting the private limited registration process.

Aadhar Card (Not Compulsory)

Any 1 Identity Proof

For each Director, you need to share any one identity proof in their name which can be Passport or Voter Card or Driving License or any other ID proof for private limited registration.

This bill can be in anyone’s name. This bill needs to be less than 2 months old. The electricity bill can also be of home address or in father name.
