What is One Person Company Registration?

A new approach has been introduced in the Company’s Act 2013, about the One Person Company (OPC). In a Private Limited Company, a minimum of 2 Directors and Members are required whereas in a Public Company, a minimum of 3 Directors and a minimum of 7 members. A single human could not incorporate a Company previously.

But as per Section 2(62) of the Company’s Act 2013, a company can be formed with just 1 Director and 1 member. It is form of a company where the compliance requirements are lesser than that of a private company.

Difference between Sole Proprietorship and One Person Company:

The approach of One Person Company (OPC) allows a person to run a company limited by shares while a Sole Proprietorship means an entity which is run and owned by one person and where there is no distinction between the business and the owner.

Limitless Liability: A sole proprietorship go through from “limitless liability” which means that if the business incurs losses the assets of not only the company, but also the owner, may be used to pay off this debt. An OPC, on the other hand, is a independent legal entity and hence the owner has a limited liability in case the business suffers a loss.
  2. Taxation: An OPC, by the virtue of being registered as a Private Limited Company, shall be subject to taxes accordingly. There is no separate tax bracket for an OPC and it shall be taxed in line with the provisions of the Income Tax Act for the Pvt. Ltd. Company. Taxation process is diverse for a sole proprietorship as the income of the company is treated as the income of the individual who is the owner and he is taxed accordingly.
  3. Succession: For the purposes of succession, an OPC needs to have a nominee designated by its member. The nominee should also be a natural born resident and citizen of India. The nominee shall, in the act of the death of the member, become a member of the company and shall be responsible for the running of the company. In case of sole proprietorship, however, series can only take place through an execution of a Last Testament and Will, which may or may not be challenged in a court of Law.
  4. Compliance: An OPC has to record Annual Returns and would also have to get its accounts audited in the same manner. On the other hand, a sole proprietorship will only need to get its accounts verification under the provisions of Section 44AB of the Income Tax Act, i.e., in the event that its turnover crosses the specified opening.
  5. Conversion: A One Person Company must convert itself into a private or public limited company the moment it has an average turnover of over Rs. 2 crore for three years. A sole proprietorship, on the other hand, can remain one no matter what its revenues are.

  1. Apply for DSC: The first Step is to attain the Digital Signature Certificate (DSC) of the proposed Director which required the following documents:
  • Address Proof
  • Aadhaar card
  • PAN card
  • Photo
  • Email Id

  1. Apply for DIN: Once you are done with Digital Signature Certificate (DSC), the next step is to apply for the Director Identification Number (DIN) of the proposed Director in SPICe Form along with the address proof of the director and the name. The form DIR-3 is the option only available for existing companies. It means with effect from January 2018, the candidate need not file Form DIR-3 separately. Now DIN can be used within SPICe form for up to three directors.
  2. Name Approval Application: The next step in OPC is to decide on the name of the Company. The brand name of the Company will be in the form of “ABC (OPC) Private Limited”.

There are 2 opportunities available for getting name approved by making application in Form SPICe 32 or by using RUN Web service of MCA by giving only 1 preferred name along with the significance of keeping that name. The effect from 23rd March, 2018, Ministry of Corporate Affairs has decided to grant two proposed Names and one re-submission (RSUB) while reserving Unique Names (RUN Service) for the Companies.

Once the name is approved by the MCA we move on to the next step. 

  1. Documents Required: We have to arrange the following documents which are required to be submitted to the ROC:
  • The Memorandum of Association (MoA) which are the objects to be pursued by the Company or stating the business for which the company is going to be incorporated.
  • The Articles of the Association (AoA) which lays down the by-laws on which the company will achieve.
  • There are only 1 Director and a Member, a nominee on behalf of such person has to be appointed because in case he becomes incapacitated or dies and cannot complete his duties the nominee will perform on behalf of the director and take his place. His approval in Form INC – 3 will be taken along with his PAN card and Aadhar Card.
  • Evidence of the Registered office of the proposed Company along with the proof of ownership and a NOC from the owner.
  • Affidavit and Consent of the proposed Director of Form INC -9 and DIR – 2 resp.
  • Acknowledgment by the professional certifying that all compliances have been made.
  1. Filing of forms with MCA company registration: All these certificates will be attached to SPICe Form, SPICe-MOA and SPICe-AOA along with the DSC of the Director and the professional, and will be uploaded to the MCA site for confirmation.

After uploading, Form 49A and 49B will be generated for the TAN and PAN generation of the Company which have to be uploaded to MCA after affixing the DSC of the proposed Director.

  1. Certificate of Incorporation: It is a legal certificate relating to the formation of a company or corporation. It is a certificate to form a corporation issued by state government or, in some jurisdictions, by non-governmental entity. On authentication, the Registrar of Companies (ROC) will issue a Certificate of Incorporation and we can begin our business.
